Staples Rewards® Program ("Program")

Terms and Conditions ("Terms")

1. Membership

This Program is available to Staples® customers 18 years of age or older with a valid U.S. mailing address and a valid email address. To receive Rewards or Recycling Rewards, the Program member ("Member") and their Program account must be in good standing. Program applications are available at Staples U.S. stores, online at staples.com or by calling 1-800-793-3320. Staples must receive accurate and complete information in order to enroll in the Program. Staples is not responsible for applications received by Staples that are not in compliance with these Terms. Purchases made pursuant to a contract with Staples Contract Staples Contract & Commercial LLC (formerly Staples Contract & Commercial, Inc.) are not eligible for the Program. The Program applies to Staples U.S. stores and staples.com.

2. Qualifying Purchases

A Member is eligible to receive credit ("Rewards") on the Member's account for qualifying purchases made by the Member ("Qualifying Purchases"), as defined below, that are made at Staples® U.S. stores, staples.com, and phone orders made at 1-800-333-3330 and for which a Membership account is identified. All Qualifying Purchases are subject to verification by Staples before being credited to a Member's account. Unless otherwise specified, throughout these Terms, the phrase "Qualifying Purchase" and "Qualifying Purchase Amount" mean the amount paid at checkout after application of all promotions, coupons, instant savings, and Rewards redemption, but not including amounts paid for returned items. (To the extent that product-specific coupons were applied pro rata in a transaction in the past for the purposes of calculating Qualifying Purchase Amount(s) for Rewards, this means such coupons were proportionately allocated across all items purchased in a given transaction). The following Purchases are ineligible toward earning Rewards:

Postage stamps, prepaid phone cards, gift cards, taxes, and shipping fees do not count toward earning Rewards, or towards reaching Base+, Premier or Elite status.

Qualifying Purchases made by the Member but for which their rewards membership number was not used at the time of the transaction can be added to the Member's account if Staples is provided with the original 17-digit receipt barcode number from the store receipt or order number, and the rewards membership number, at staples.com or by calling 1-800-793-3320 as promptly as possible after the date of the transaction, but within 90 days post transaction. Only purchases made by the Member may be added to the Member's account. Purchases are credited upon verification within five days after they are requested. Qualifying Purchases that have been verified are applied to the Member's account with a transaction date of the date approved. A maximum of 10 purchases may be requested to be credited per day. Qualifying Purchases cannot be transferred, sold or bartered.

Free Delivery

Free delivery, with $20 minimum order for Base. Free delivery, no minimum for Base+. Free Next Day delivery for eligible items, excludes weekends and holidays, no minimum for Premier & Elite tiers.

Ink Recycling Rewards

Each Member is eligible to receive Ink Recycling Rewards ("Recycling Rewards") on ink recycling, as described below, performed at Staples U.S. stores or online at staples.com/rewards, if the Member has spent at least $30 in ink and/or toner purchases at Staples over the previous 180 days. Ink and/or toner purchases made on the date of recycling are calculated toward minimum purchase requirement. Minimum purchase requirement is net of coupons, taxes, rewards redemptions, and shipping charges. Ink resellers and remanufacturers are strictly prohibited from earning Ink Recycling Rewards.

Base and Base+ Members can recycle up to 10 cartridges per month of any used ink or toner cartridge sold at any retail store in the U.S. or online at staples.com and receive $2 back in Recycling Rewards per cartridge. Premier and Elite Members can recycle up to 20 cartridges per month of any used ink or toner cartridge sold at any retail store in the U.S. or purchased online at staples.com and receive $2 back in Recycling Rewards per cartridge. Staples will accept additional cartridges for recycling but Recycling Rewards will only be issued for the first 10 qualifying cartridges per calendar month per Base and Base + Member, and for the first 20 qualifying cartridges per calendar month per Premier and Elite member. For in-store recycling, the Member must be physically present at the store when the cartridges are turned in, and their Membership account must be identified. If using pre-paid shipping labels obtained through the Rewards website, Members shall consolidate their cartridge returns to maximize the number of cartridges included in each shipment. Members may download a maximum of 15 pre-paid shipping labels per month. Recycling Rewards may be used for the same purposes and are under the same restrictions as Rewards.

Bonus Events

Premier and Elite Members will receive early access to certain promotions on staples.com. Premier or Elite Members must be logged into staples.com to access these promotions. Each early access promotion will have a start and end date; purchases must be made during the specified period. While supplies last. Offer is non-transferable and may not be resold. Offer is subject to change or cancellation at any time. No cash/credit back. Not valid on prior purchases.

Free Product Samples

Elite Members are eligible to receive Free Product Samples on staples.com. Elite Members are eligible to receive up to two free product samples, once a month as supplies last. Free product samples will be shipped with Elite customer's first eligible order when applicable. Free product samples will not ship without eligible purchase. If order cannot be fulfilled, the Member's next purchases will be eligible for free samples. Free product samples will be selected at Staples discretion. Free product samples are non-returnable and are not eligible for purchase. Monthly, the samples will refresh at Staples discretion, and run through the end of that calendar month. If the Member does not make an eligible purchase in a given month, the free samples will expire for that given month.

Returns - Expedited Refunds

Premier and Elite Members are eligible to participate in expedited returns. For expedited returns, Staples will process any applicable refund within a day of the Member initiating the return. The timing to complete any refund will depend on the Member's credit card issuing bank. Participation in this program requires the Member to complete the return by sending the product back to Staples in accordance with the instructions provided by Staples when the return is initiated.

If Staples does not receive that product back within 20 days of the Member initiating the return, Staples customer service may contact the Member to assist in any issues in returning the product. Members having any issues returning a product can visit the Help Center for more information or contact us to assist with the return. After the 20 days have expired without Staples receiving the product back, three attempts may be made over 15 business days to contact the Member about the return. If unsuccessful, the customer will be recharged for the failed return. Noncompliance with the Staples Return Policy also forfeits the Member's tiered Program status, and could lead to a loss of all elevated loyalty status and benefits.

We carefully monitor returns, and in some cases, returns or exchanges may be limited or declined. Staples reserves the right to deny any returns or exchanges for violations of our return policy. Refunds will be processed at time of return however the timeline your funds will be received back is based off your financial institution. All returns are subject to Staples Return Policy

Print and Marketing Services

Premier and Elite Members receive a $25 coupon good towards an eligible Print & Marketing Services purchase. Coupons are made available to Premier and Elite Members online at staples.com/rewards . Coupons are only valid for in-store Print & Marketing Services purchases until the expiration date shown on the coupon. Coupon must be presented at time of service or purchase.

Free Tech Services and Savings

Premier and Elite Members receive a $20 coupon good towards eligible Tech Services Total Support. Coupons are made available to Premier and Elite Members online at staples.com/rewards. Eligible Tech Services are in-store only; see Tech Service desk for covered hardware/software. Coupons are only valid for in-store Tech Service purchases until the expiration date shown on the coupon. Coupon must be presented at time of service or purchase.

TIER ELIGIBILITY

90 day Base+ Trial

When a new customer enrolls in the Staples Rewards Program, they will be placed into a 90-day trial of Base+. After 90 days, if the Member has spent at least $250, they will remain in Base+ for 12 months and continue to receive those benefits. If the Member hasn't spent at least $250 during their 90-trial period, they will be put in the Base tier where they will receive Base benefits.

Upgrade

A Member is automatically upgraded to a higher tier status when the Member's account reflects qualified spending during the prior 12 months that meets the threshold (Base+ $250, Premier $1,000, Elite $5,000) of that higher tier. Member spending qualifying for upgrade includes all products and services at each or any combination of Staples U.S. stores, by phone at1-800-793-3320 and/or online at www.staples.com, other than postage stamps, prepaid phone cards, gift cards, purchases made on third party websites, taxes, shipping fees, and any other categories which Staples has excluded. Qualifying spending for upgrade is the amount paid at checkout after application of all coupons, discounts, instant savings, and Rewards redemptions.

Downgrade

A Member retains their tier status for the 12 months following the time of upgrade. Retention of tier status is subject to the same eligibility requirements as upgrades. If the Member has not met the spending threshold for their existing tier during those12 months, they will be downgraded to the tier corresponding to their prior 12-month spending level (Base $0-$249, Base+ $250, Premier $1,000, Elite $5,000).

Earning & Redeeming Rewards

Rewards are issued online monthly at staples.com/rewards in increments of $5. Monthly balances of less than $5 will rollover through the end of the following calendar quarter. Unissued Rewards will expire at the end of the following calendar quarter, unless a qualifying purchase is made. Rewards are issued within 30 days after the end of the calendar month. Rewards may be redeemed at any Staples U.S. store, on staples.com, or by phone at 1-800-793-3320 by the expiration date indicated on your Reward statement. Rewards are not redeemable for cash. To redeem, valid membership must be presented by the Member listed on the Reward statement. Staples is not liable for unclaimed or expired Rewards.

Recycling Rewards are issued to the Member monthly, online, at staples.com/rewards, separately from a Member's standard Rewards statement, approximately within 30 days after the end of the month in which the recycling was completed. Recycling Rewards are credited to the Member's Rewards account in full each month with no minimum required. Expired, lost or misdirected Recycling Rewards will not be reissued. Recycling Rewards not received due to incorrect account information including email address will not be reissued. Recycling Rewards may be redeemed at any Staples U.S. store, on staples.com, or by phone at 1-800-793-3320 by the expiration date indicated on your Reward statement. Rewards are not redeemable for cash. To redeem, valid membership must be presented by the Member listed on the reward. Staples is not liable for unclaimed or expired Rewards.

Rewards and Recycling Rewards expire the last day of the month following the month of issuance, at the end of the day EST and cannot be redeemed after the expiration date. Expired, lost or misdirected Rewards and Recycling Rewards will not be reissued. Rewards and Recycling Rewards not received by the Member due to incorrect email addresses will not be reissued. There is no maximum on the amount of Rewards a Member can receive. Recycling Rewards have a monthly maximum payout of $20 for Base and Base+ tier, and $40 maximum payout for Premier and Elite tiers.

Rewards and Recycling Rewards are redeemable for most merchandise in Staples U.S. stores and staples.com, but cannot be redeemed for or applied against taxes, cash, credit remittance, delivery charges, custom printing orders placed online, promotional products, any purchases made on design.staples.com, documents.staples.com, design.staples.com/promotional-products, shopstaplesmobile.com, appcenter.staples.com, directmail.staples.com, staples.com/deluxe, Staples gift cards, third-party gift cards, prepaid phone cards, postage stamps, prior purchases, Staples Industrial purchases or any purchases made on other provider Web sites.

If a Reward or Recycling Reward is not redeemed in full on in-store purchases, a one-time-only coupon with the expiration date of the original Reward will be printed for any remaining balance of $1.00 or more. Such Reward coupon may be used for future store, online or phone purchases, but must be used in full for a subsequent transaction or the balance will be forfeited. Staples.com orders or phone orders, excluding taxes, delivery charges, gift cards, prepaid phone cards, and postage stamps, must meet or exceed the Reward or Recycling Reward amount.

4. Classroom Rewards

Give back to your kids' teachers by taking advantage of Staples® Classroom Rewards to show appreciation to hardworking educators. This program runs throughout the year and allows parents to gift 5 percent of their total purchases at Staples® U.S. stores or online at staples.com to eligible teachers of their choice. 5. Instacart Purchases

Members who make Qualifying Purchases at Staples Retail on www.instacart.com are eligible to earn Rewards when they provide their valid rewards membership number at checkout. If their valid rewards membership number is not entered, or is entered incorrectly, Rewards will not be earned on Member's Instacart transaction. Rewards received by Members may not be applied towards Staples Retail purchases made on www.instacart.com . Members are not eligible for Rewards back promotions for Staples Retail purchases made on www.instacart.com . Members who didn't enter their rewards membership number at time of checkout will not be granted Rewards for any Qualifying Purchases made in such transaction. Rewards will be issued within sixty (60) days after the end of the calendar month in which the Qualifying Purchase was made on www.instacart.com , and such Rewards will be combined with other Rewards the Member has accumulated. Purchases made on www.instacart.com are not tracked in the Member's account on www.staples.com/rewards . To view Instacart transaction details, Members must login to their account at www.instacart.com . Rewards earned from Qualifying Purchases made on www.instacart.com are not tracked in the Member's Staples or Instacart accounts.

7. Cancellation

Membership in the Staples Rewards Program may be cancelled at any time by notifying Member Services by email or phone. Cancellation may take up to 10 days to finalize. Upon cancellation, membership will be deactivated and any unpaid Rewards or Recycling Rewards will be forfeited.

8. Abuse

Abuse of the Program, including failure to follow or any attempts to circumvent Program policies and procedures or these Terms, or other improper conduct as determined by Staples in its sole discretion, is strictly forbidden. Abuse may result in cancellation of the Member's account, future disqualification from Program participation, forfeiture of some or all Rewards and Recycling Rewards accrued, cancellation of previously issued but unused Rewards and Recycling Rewards and liability for past amounts of Rewards and Recycling Rewards redeemed. In addition, Staples reserves the right to take appropriate legal action as it deems necessary or desirable. The sale, barter or transfer of Rewards and Recycling Rewards, except by Staples, is expressly prohibited.

9. General

Rewards issued under this program cannot be combined with any other Rewards program, including Staples Associate Rewards®. Staples Rewards Program accounts are limited to one account per eligible customer; each email address and mailing address are also limited to one account. By enrolling in the Program, you will also receive Staples promotional communications. You may unsubscribe at any time. Rewards and Recycling Rewards are nontransferable and may only be redeemed by the Member. For information on how we protect your personal information, see Staples' U.S. Privacy Policy on staples.com Staples is not liable for unclaimed, expired, lost or misdirected statements or other communications from Staples to the Member or the Member to Staples.

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any Member's legal action against Staples relating to the Program may only be filed in the state and federal courts of Suffolk County, Massachusetts. If any provision of these Terms is found to be invalid or unenforceable to any extent, then the invalid portion shall be deemed conformed to the minimum requirements of law to the extent possible. In addition, all other provisions of these Terms shall not be affected and shall continue to be valid and enforceable to the fullest extent permitted by law. The Program is void where prohibited by law.

Staples reserves the right to modify, revise or cancel this Program, the Terms or any part of the Program at any time for all participants or for any specific participant without prior notice. Staples' decision on any aspect of Member's account, membership status, Rewards balance or any aspect of the Program or a particular Member's participation in the Program shall be final. For the purposes of Rewards issued under this Program, Staples assumes that any value or award earned as a result of United States Government purchases will be applied for the benefit of the United States Government in accordance with the procuring department's or agency's ethical guidelines.

By participating in the Program, Members agree to and are subject to these Terms, and certify that all eligibility requirements are met.
